Terms of Use

These Terms govern your use of Ledgerline. By creating an account, uploading documents, or starting a live review, you agree to them.

What Ledgerline provides

Ledgerline compares supported billing terms in a digital contract with a billing CSV and presents potential differences with supporting records. It is a limited-scope review tool, not a complete audit service.

Your responsibilities

You represent that you have all rights, permissions, and lawful authority needed to upload and process each document. You must not upload payment-card data, government identification numbers, protected health information, or documents subject to restrictions that prohibit this use. You are responsible for safeguarding your account and for reviewing results before taking action.

Not advice; verify results

Ledgerline does not provide legal, accounting, tax, financial, or other professional advice. Results are informational and may be incomplete, inaccurate, or unsuitable for your circumstances. Do not rely on a result as the sole basis for invoicing, payment, collection, legal action, or other business decisions; verify it with qualified personnel and the underlying records.

Service boundaries

Only certain clear recurring charges, simple usage rates, and simple overage thresholds are calculated. Ambiguous matches and unsupported clauses are flagged for review rather than calculated. We do not promise that every discrepancy will be detected or that the service will be uninterrupted or error-free.

Acceptable use

You may not misuse the service, bypass limits or security controls, probe or scrape it, interfere with other users, upload malware or unlawful content, or use the service in violation of applicable law. We may suspend or terminate access to protect the service, users, or third parties.

Disclaimer and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERLINE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERLINE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO LEDGERLINE FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.

Indemnity

To the extent permitted by law, you will defend and indemnify Ledgerline from claims arising from your uploaded documents, your unauthorized use of the service, or your breach of these Terms.

Governing law

North Carolina law governs these Terms, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in North Carolina, unless applicable law requires otherwise.

Changes and contact
